Agreement
This Agreement (“Agreement”) is made and entered into on this [date] (the “Effective Date”) by and between SalesmanHub (“SalesmanHub”) and [Business Owner’s Name] (“Business Owner”).
Services: SalesmanHub agrees to provide the following services to Business Owner:
Product Marketing.
Product introduction to other states.
Developing dealers or distributor networks.
Other digital or branding services required by businesses to grow smoothly.
Liability: SalesmanHub shall not be liable for any sales, payment, or delivery related matters. SalesmanHub’s sole responsibility is to provide the services as described in section 1 of this Agreement. Any issues or disputes arising from sales, payment, or delivery shall be the sole responsibility of Business Owner.
Non-Hiring Clause: Business Owner agrees not to directly hire or engage any salesperson or employee of SalesmanHub for the purpose of sales or any related activities. In the event that Business Owner violates this clause and hires a salesperson or employee of SalesmanHub, Business Owner shall be liable to pay SalesmanHub 25% of the total revenue generated by such salesperson or employee.
Term: This Agreement shall commence on the Effective Date and continue until terminated by either party. Either party may terminate this Agreement by providing written notice of termination to the other party at least [number of days] days prior to the intended termination date.
Confidentiality: During the course of this Agreement, both parties may have access to confidential information belonging to the other party. Confidential information includes, but is not limited to, trade secrets, business plans, customer lists, and financial information. Both parties agree to keep all confidential information confidential and shall not disclose it to any third party without the express written consent of the disclosing party.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [State/Country]. Any disputes arising out of or in connection with this Agreement shall be resolved through amicable negotiations between the parties. If a resolution cannot be reached, either party may seek legal remedies in the appropriate jurisdiction.
Entire Agreement: This Agreement constitutes the entire agreement between SalesmanHub and Business Owner, and supersedes all prior agreements, understandings, and representations, whether written or oral. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
